Effective Date: September 1, 2025

These Terms of Use apply when you purchase a course and/or other materials, including but not limited to videos, slide decks, workbooks, PDFs, templates, audio, transcripts, Q&As, information obtained during online meetings and community resources (the “Content”) from Music Ed Forward/Nyssa Brown Curriculum Design.

1. Who can purchase the Content?

You can purchase Content if:

  • you are older than 18 years, or the relevant age in your jurisdiction for independently concluding agreements, and
  • you are legally allowed to conclude an agreement with Music Ed Forward/Nyssa Brown Curriculum Design,and
  • you, nor anyone you are affiliated with are on a restricted parties list;
  • you are not a person or entity to which the Content cannotbe made available on the basis of applicable (sanctions)laws, and
  • you have not previously violated the terms of an agreement with Music Ed Forward/Nyssa Brown Curriculum Design.

Music Ed Forward/Nyssa Brown Curriculum Design reserves the right to refuse you as a customer if any one of the above conditions is not met. In that case, the paid purchase amount will be refunded.

2. Intellectual Property Rights

All Content is the exclusive intellectual property of Music Ed Forward/Nyssa Brown Curriculum Design and is protected by national and international copyright and other intellectual property laws.

You are granted a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and use the Content for your individual educational purposes only.

You may not copy, reproduce, distribute, share, publish, display, sell, or otherwise exploit the Content or any other content displayed on the website in any form without the prior express written consent of Music Ed Forward/Nyssa Brown Curriculum Design.

Music Ed Forward/Nyssa Brown Curriculum Design reserves the right to implement digital rights management measures with respect to the Content and you are not allowed to remove, circumvent or otherwise negatively affect such measures.

Any violation of the above constitutes a violation of theseTerms of Use as well as an infringement on the intellectual property rights of Music Ed Forward/Nyssa Brown Curriculum Design. In case of violation, you must, at Music Ed Forward/Nyssa Brown Curriculum Design’s first request cease and desist such violation and provide the cooperation and information requested to prevent or end any further violations. Music Ed Forward/Nyssa Brown Curriculum Design can then also, without limitation, claim financial damages consisting of a fee of 400% of the price paid for the Content, in addition to any other damages, suspend or terminate the agreement with you without refund, and/or request a court to end your violation.

3. Access & Accounts

You will be given an account on the website with which you can access the Content after your purchase with valid login credentials. You have to use a secure and strong password and please do not re-use other passwords. If your account is or can be compromised, you will have to change your password immediately. You also have to make sure the device on which you access your account is properly secured, e.g. with strong authentication and up-to-date software. Also make sure to remove any stored passwords (e.g. in your internet browser) from your device before you make it available to another person.

Access is granted to the individual purchaser only.

Sharing login credentials, downloading with the intent to redistribute, or otherwise providing access to the Content toanyone other than yourself is strictly prohibited and isregarded as a violation of article 2 (Intellectual Property Rights).

4. Purchases, Payment and Taxes

Because the Content is delivered and made available to you in full immediately upon your purchase, all sales are final and non-refundable. You explicitly agree to this and you waive any legal right you may have to withdraw the agreement (within 14 days).

You can pay for the Content using the payment method offered on the website. If the payment is annulled or otherwise reversed this does not relieve you of your payment obligations and Music Ed Forward/Nyssa Brown Curriculum Design is entitled to add statutory rent and collection costs to the payable amount, as well as entitled to close off your account. If you are a consumer the collection costs will be calculated on the basis of applicable laws and if you are not a consumer the actual internal and external collection costs will be payable.

With the exception of Value Added Tax and the taxes payable on Music Ed Forward/Nyssa Brown Curriculum Design’s income, you are responsible for paying the taxes, levies and costs imposed by third parties on your purchase and use of the Content. Currency differences are for your account.

5. Changes to the Content

Music Ed Forward/Nyssa Brown Curriculum Design does not provide updates of the Content because it is a one-time purchase. If you would like to have access to newer versions of the Content, please make a new purchase.

Music Ed Forward/Nyssa Brown Curriculum Design however reserves the right to make changes to the Content if this is needed to comply with (1) changes in applicable laws, (2) the agreement with you and/or (3) third-party demands related to the Content. If making changes is not sufficient to comply with the above, Music Ed Forward/Nyssa Brown Curriculum Design reserves the right to remove the Content, refunding you pro rate the period during which it was available.

6. Community

If your purchase includes access to a social media community(e.g. Facebook) and/or online live meetings (the “community”) you agree to comply with the community standards indicated in the agreement, as well as the Facebook community standards (if applicable). In short, this means you cannot do anything illegal or unlawful or do anything that may cause harm to other users of the community or to Music Ed Forward/Nyssa Brown Curriculum Design, that you must respect all participants in the community and not disrupt any communications or meetings.

Without affecting any other provisions in these Terms of Use Music Ed Forward/Nyssa Brown Curriculum Design reserves the right to block you from the community and suspend or terminate your account if it finds you do not comply with these standards.

7. Warranties

The Content is provided for educational purposes only and on an “as is” basis. Music Ed Forward/Nyssa Brown Curriculum Design makes no warranties, express or implied, does not guarantee that the Content is correct or available at all timesand does not guarantee any specific outcomes, results, revenue, or professional advancement. If you are a consumer, the foregoing does not affect your rights to delivery of the Content conform the agreement.

You are solely responsible for how you use the Content including applying the concepts and strategies presented. The Content is made available in commonly used formats and isaccessible through commonly used internet browsers. If you have any technical problems with accessing or displaying the Content on your device, please contact us at info@musicedforward.com.

You warrant that the information you provide to Music Ed Forward/Nyssa Brown Curriculum Design is up-to-date and correct.

8. Limitation of Liability & Indemnification

To the fullest extent permitted by applicable law, Music Ed Forward/Nyssa Brown Curriculum Design is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages; any loss of income, revenue, profits, goodwill, data, or business opportunities, defaulting hired third parties; or any decisions made or actions taken in reliance on the Content. Any liability is limited to 200% of the amount you have paid for the purchase of the relevant Content from which your damage arose.

Any shortcomings in the agreement that you find should be notified without undue delay. If you have suffered damageMusic Ed Forward/Nyssa Brown Curriculum Design must be notified thereof as soon as possible. To the extent permitted by applicable law, if you make no notification of damage within three months after you become aware of the damage or should have reasonably become aware thereof or have started legal proceedings within twelve months of that moment, your claim expires.

You agree to indemnify, defend, and hold harmless Music Ed Forward/Nyssa Brown Curriculum Design, its owners, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) for which you are liable such as arising from your participation in the course, your misuse of the Content, or your violation of these Terms or the terms of the purchase agreement.

9. Term and Termination of Agreement and Account

Your account is available to you until you delete it, or until we invoke our right to delete it. You can delete your account at any time but the Content will then no longer be available for you. If you have not used your account for a longer period of time, we may choose to delete it after reminding you of yourinactivity.

The agreement may state a term or end date after which the purchased Content is no longer available, after this the Content is deleted from your account and the agreement for that purchase ends.

In case of violation of these Terms or any term of the agreement, including if the conditions in article 1 are not met, Music Ed Forward/Nyssa Brown Curriculum Design may without refund suspend access to your account and to the Content and (after notification) delete your account and pursueall available legal remedies. In case of your demise Music Ed Forward/Nyssa Brown Curriculum Design is also entitled to terminate the agreement.

10. Governing Law, Disputes

These Terms of Use and the agreement are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles but without affecting applicable mandatory consumer law provisions.

You agree that any disputes between you and Music Ed Forward/Nyssa Brown Curriculum Design with respect to the Content, the agreement and/or the Terms will be resolved by the court located in the Netherlands, The Hague.

If you are an EEA consumer, you may invoke the jurisdiction applicable pursuant to mandatory consumer law provisions, you may do this within one month after Music Ed Forward/Nyssa Brown Curriculum Design has invoked the above provision. If you are located outside the EEA, you may agree with Music Ed Forward/Nyssa Brown Curriculum Design to bring the dispute before an arbitral court.

11. Miscellaneous

The agreement is concluded in English and it will be archived.You can access your purchases through your account.

If a provision in these Terms of Use or the agreement annulled or otherwise held unenforceable, this does not affect the other, valid provisions. The invalid provision will be deemed replaced by a valid and enforceable provision which meets the original objective as closely as possible. If you do not enjoy consumer protection, you waive any rights you may have to annul the agreement and/or these Terms of Use.

These Terms of Use may be changed by Music Ed Forward/Nyssa Brown Curriculum Design between any two purchases and during the course of the agreement to reflect any changes in its business (processes), circumstances, the Content or applicable laws. If you do not agree with the changes you have the right to terminate the agreement and close your account. If you notify Music Ed Forward/Nyssa Brown Curriculum Design that you do not agree to the changes and the period during which the Content is made available has not yet expired, Music Ed Forward/Nyssa Brown Curriculum Design may choose to give you a pro rate rebateor to keep the previous version of the Terms of Use in force.
